Partner terms

These terms apply to publishers, ad networks and other traffic partners (“Partner”) that supply inventory or users to campaigns run by FixSpotter Ltd (“FixSpotter”) under a partner order or e-mail confirmation (“Order”).

1. Campaigns

FixSpotter provides the Partner with campaign details: geography, offer, payout model and rate, caps, creative assets, tracking links and restrictions. The Partner delivers only within those parameters and only from sources disclosed to FixSpotter.

2. Traffic requirements

The Partner will not deliver, and will not be paid for, traffic generated by bots, emulators, device farms, click spamming, click injection, SDK spoofing, incentivised traffic where not permitted by the Order, misleading creatives, or traffic from sources not approved in writing. The Partner keeps records sufficient to show the origin of its traffic for 12 months and provides them on request.

3. Measurement and reconciliation

Delivered actions are measured in the advertiser’s attribution platform. FixSpotter’s reconciliation, based on that platform and its own fraud checks, is final for payment purposes. Actions identified as invalid are excluded. Reconciliation is provided monthly; disputes must be raised within 10 business days.

4. Payment

Payment for valid actions is made within the term stated in the Order, typically net 30 after the reconciled month, subject to receipt of a valid invoice and, where applicable, receipt of payment from the advertiser for the same actions. FixSpotter may withhold payment for actions under fraud review.

5. Compliance

The Partner complies with applicable law, platform and store policies, and the advertiser’s restrictions. The Partner is responsible for consent and disclosures required for its own users and properties.

6. Confidentiality and brand

Campaign details, rates and advertiser identities are confidential. The Partner may not use the advertiser’s or FixSpotter’s name or marks except as provided in the campaign assets.

7. Termination and liability

Either party may end an Order on written notice; delivered valid actions remain payable. FixSpotter may suspend a Partner immediately on reasonable suspicion of invalid traffic. Liability is limited to amounts payable under the Order in the preceding 12 months, except for fraud, breach of confidentiality or liability that cannot be limited by law.

8. Governing law

The law of England and Wales applies; the courts of England and Wales have exclusive jurisdiction.
